Senior Legal Officer

Key Accountabilities
  • Review and finalize the meeting minutes of MC and Committees.
  • Draft resolutions of MC, and Committees to ensure all resolutions comply with laws and regulations.
  • Provide legal advice / opinion to MC and Committees when required.
  • Give legal advice/opinion on daily legal issues. Give the legal opinion on the contracts/documents that the Company engaged to ensure the legality of the form and the contents of the contracts/documents.
  • Comment laws and regulations as required by authorities.
  • Be lawyer/representative of the Company in the disputes if required.
  • Support related departments in dealing with partners by directly involved in the negotiation progress of the agreements. 
  • Assess CEO's decisions independently to ensure the compliance with the laws of the Company’s charter, resolutions, and decisions of the MC. Make recommendation to L&C manager if necessary..
  • Checking and controlling the lawfulness / compliance of internal activities. Evaluate periodically or irregularity the compliance with the laws and the internal rules/the procedures of the departments/individuals. Promptly have opinions and report to L&C manager when detecting violations of internal procedures, regulations, etc.
  • Lead or participate in the investigation, prevention of illegal activities, insurance fraudulence for individuals and departments within the Company.
  • Support/supervise and evaluate periodically or extraordinarily the compliance with the agreed procedures/the distribution agreements of the sale departments/sale representative/insurance agents and if any. Periodically evaluate once for 6 months or 1 quarter on a random
  • Promply make the recommendations to L&C manager when detecting violations of distribution agreements/ agreed procedures of sale department/sale representative/insurance agents. 
  • Draft and/or Review (in cooperation with external lawyers, if so required) all internal and external contracts/ agreements that PVN engages, to make sure the compliance with Vietnamese regulations as well as internal policies of the Company. Update signed contracts/ Agreements;
  • Draft (in coordination with other departments and external lawyers, if any) the Company’s policy wordings, to be in compliance with the Vietnamese regulations as well as technical descriptions;
  • In charge of all legal matters between the Company and customers, partners, authorities, staffs (incl. legal settlement of all claims and benefits related disputes, legal proceeding at the court….);
  • Draft, review the internal rules and make sure it’s in compliance with the local law and regulations;
  • Providing legal opinion/ advice/ support to other departments in daily activities;
  • Monitor and update laws and regulation concerning to company's activities;
  • Ensure that all operational activities of the Company are in compliance with local regulations and internal rules;
  • Translate contracts, documents into English and vice versa;
  • Other tasks as assigned by the L&C manager from time to time.

Qualification & Experience Requirements
Education: Bachelor of Law in Vietnam
Higher degree and/or Lawyer qualification & Internaltional education experience are plus
Other required Degree, Professional Qualifications and Certifications:
Insurance certificates are advantage
Technical/ Professional/ Specific Competency Requirements:
  • Solid and continuous study to maintain/ improve knowledge regarding lastest and regulation movements
  • Strong communication & interpersonal skills
  • Good time management skill
  • Good presentation skill
  • Solid knowledge about the life Insurance business. Knowledge about the other financial industries is preferred
Relevant Working Experience
At least 3 years of experience in Legal Compliance, preference in Financial services
Experience in Life Insurance industry is preferred
Required Languages
Fluent English & Vietnamese
Information technology/ Technical tools
Good command of computer skills, using all major office applications
